Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Client", "Customer") and Gopalforge ("Company", "we", "us", "our"), a business entity registered in Pune, Maharashtra, India, with its principal place of business at Shop No 21, City Square Trade Center, Kothrud Road, Pune, Maharashtra 411038, India.

By accessing our website, submitting an inquiry, placing an order, or engaging with our services in any manner, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms in their entirety, you must not use our website or services.

Services Description

Gopalforge is a precision forging manufacturer providing the following products and services:

• Drop forging and closed-die forging of metal components
• Open-die forging for large and custom-shaped components
• CNC precision machining and finishing of forged parts
• Heat treatment including normalizing, annealing, quenching, and tempering
• Quality testing and inspection including spectro analysis, hardness, and UT testing
• Custom component manufacturing as per client drawings and specifications
• Supply of raw material as per customer-specified grades
• Packaging, labeling, and logistics coordination

All services are subject to availability, capacity, and mutual agreement. Gopalforge reserves the right to decline or modify any order that does not meet our minimum quantity requirements, technical feasibility standards, or payment terms.

Orders & Quotations

All quotations provided by Gopalforge are valid for 30 days from the date of issue unless stated otherwise. Quotation prices are subject to change based on fluctuations in raw material costs, energy costs, and other market conditions.

• Purchase orders must be submitted in writing (email or physical document) and include complete product specifications, quantities, delivery requirements, and applicable drawings or standards.
• Orders are confirmed only upon receipt of a signed purchase order and acceptance by our sales team.
• Any modifications to a confirmed order must be communicated in writing and are subject to additional cost and schedule adjustments.
• Cancellation of a confirmed order may attract cancellation charges depending on the stage of production.
• Gopalforge reserves the right to reject orders that are incomplete, technically infeasible, or not commercially viable.
• Minimum order quantities may apply for certain products and are specified in the quotation.

Payment Terms

Unless otherwise agreed in writing, the following payment terms apply to all transactions with Gopalforge:

• New clients: 50% advance payment at the time of order confirmation, balance 50% before dispatch
• Regular clients with credit facility: Net 30 days from the date of invoice, subject to approval
• International orders: 100% payment by T/T or LC at sight before shipment
• Payments must be made in Indian Rupees (INR) for domestic orders. Foreign currency accepted for international orders as mutually agreed.
• Late payments shall attract interest at 18% per annum or as applicable under the MSMED Act, 2006.
• Gopalforge reserves the right to withhold dispatch of goods until full payment is received.
• GST, freight charges, and other applicable taxes/levies are charged additionally as per prevailing rates.

Delivery & Logistics

Delivery timelines communicated in quotations are indicative and subject to production schedules, raw material availability, and force majeure events. Gopalforge will make reasonable efforts to meet agreed delivery dates.

• Risk of loss and title to goods passes to the buyer upon dispatch from our facility (Ex-Works, Pune, unless otherwise agreed).
• Gopalforge is not liable for delays caused by logistics partners, natural disasters, government restrictions, or any other force majeure events beyond our control.
• Clients must inspect goods upon receipt and report any visible damage or shortages to us in writing within 48 hours of delivery.
• Claims for transit damage must be supported by a carrier-acknowledged Proof of Delivery (POD) with damage remarks.
• Partial deliveries may be made at Gopalforge's discretion when production batches are ready, and each partial delivery may be invoiced separately.

Quality & Warranty

All products manufactured by Gopalforge are subject to our standard quality assurance procedures in accordance with ISO 9001:2015 and applicable material standards. We warrant that:

• Products will conform to agreed specifications and drawings at the time of dispatch
• Material grade and chemical composition will match the agreed specification
• Dimensional tolerances will be within agreed limits as specified in the purchase order or drawings
• Heat treatment, if specified, will be carried out as per the agreed procedure

Warranty claims must be reported to us in writing within 30 days of discovery of the defect. Our liability under warranty is limited to replacement or credit of the defective components and does not extend to consequential or incidental damages.

Intellectual Property

All content on the Gopalforge website, including but not limited to text, graphics, logos, images, product descriptions, technical data, and software, is the property of Gopalforge and is protected by applicable intellectual property laws.

• You may not reproduce, distribute, or use our content without prior written consent from Gopalforge.
• Customer drawings, designs, and technical specifications submitted to us for manufacturing remain the intellectual property of the customer.
• Gopalforge retains ownership of all manufacturing processes, tooling designs, and know-how developed internally.
• Any tooling or dies developed specifically for a client's order may be billed separately and will be stored safely at our facility; however, ownership will be determined as per the terms stated in the specific purchase order.

Communication Consent

We respect your communication preferences. You may opt out of marketing communications at any time by:

• Sending an opt-out email to info@gopalforge.shop
• Replying "STOP" to any SMS communication received from us
• Clicking the "Unsubscribe" link in any marketing email from Gopalforge
• Requesting removal through our contact form at our contact page

Please note that opting out of marketing communications will not affect your receipt of transactional communications necessary for order processing and service delivery.

Limitation of Liability

To the maximum extent permitted by applicable law, Gopalforge shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our products or services
• Loss of profit, revenue, data, or business opportunities arising from any cause whatsoever
• Damages arising from reliance on information provided on our website which may be outdated or inaccurate
• Any third-party claims arising from your use of our products or services

In all cases, our total aggregate liability to you shall not exceed the value of the specific order or transaction that gave rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Gopalforge, its directors, employees, agents, and representatives from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of our products or services in violation of these Terms
• Your breach of any representation or warranty made in connection with your order
• Your violation of any applicable laws or third-party rights in connection with your use of our products
• Any design defects in customer-provided drawings or specifications that result in non-conforming products

Confidentiality

Both parties agree to maintain the confidentiality of proprietary technical information, pricing, and business information shared during the course of our business relationship. This obligation shall continue for a period of 3 years after the termination of our business relationship, unless the information becomes publicly available through no fault of either party.

Neither party shall disclose the other's confidential information to any third party without prior written consent, except as required by law or regulation.

Governing Law & Dispute Resolution

These Terms and all matters arising from or related to our business relationship shall be governed by the laws of India. Any disputes shall first be attempted to be resolved through mutual negotiation within 30 days.

If negotiation fails, disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration at Pune, Maharashtra. The language of arbitration shall be English.

For smaller disputes not exceeding INR 5,00,000, the parties may approach the appropriate civil courts having jurisdiction in Pune, Maharashtra, India.

Termination

Gopalforge reserves the right to terminate or suspend access to our services at any time, with or without cause, with or without notice, effective immediately. Termination shall not relieve either party of obligations arising from transactions completed prior to termination.

Upon termination, you must cease all use of our website and destroy any proprietary information or materials in your possession that belong to Gopalforge.

Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website or services after any changes constitutes acceptance of the modified Terms.

We recommend reviewing these Terms periodically. For significant changes, we may also notify registered clients via email.
